1. Services and Scope

WindFlow, operated by Xi'an Chuanxian Xingfeng Network Technology Co., Ltd., provides professional computer systems design, computer integrated systems design, and related technology consulting services (the Services). These Services are delivered under individual project agreements that supplement these Terms where applicable.

We reserve the right to modify, suspend, or discontinue any aspect of our Services with reasonable notice to affected clients. Service descriptions on our website are for informational purposes only and do not constitute a contractual offer unless expressly stated in a signed agreement.

2. User Obligations

You agree to use our website and Services in compliance with all applicable laws and regulations. You shall not:

• Access or attempt to access our systems through unauthorized means, including hacking, scraping, or automated querying.
• Upload or transmit any content that is unlawful, harmful, defamatory, or infringes upon third-party rights.
• Interfere with the proper functioning of our website, servers, or networks.
• Misrepresent your identity or purpose when engaging with our Services.
• Reverse engineer, decompile, or disassemble any software or system provided as part of our Services.

You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.

3. Intellectual Property

All content, materials, designs, code, documentation, and deliverables created by WindFlow and Xi'an Chuanxian Xingfeng Network Technology Co., Ltd. — including but not limited to website text, graphics, logos, icons, software, and underlying architecture — are the exclusive intellectual property of Xi'an Chuanxian Xingfeng Network Technology Co., Ltd., protected under applicable copyright, trademark, and patent laws.

Upon full payment for Services, clients receive a limited, non-exclusive, non-transferable license to use deliverables created specifically for them. This license does not extend to proprietary frameworks, tools, or methodologies used in the creation process.

4. Client Responsibilities

Clients engaging our Services agree to provide timely, accurate information necessary for project execution. Delays or failures in providing required materials may affect delivery timelines, for which WindFlow shall not be held liable.

Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the engagement. This obligation survives termination for a period of five years.

5. Payment Terms

Fees for Services are outlined in individual project proposals or service agreements. Payment terms, including deposits, milestones, and final balances, are specified in each agreement.

Late payments may incur interest at 1.5% per month or the maximum rate permitted by applicable law. We reserve the right to suspend Services until all outstanding payments are received.

All fees are exclusive of applicable taxes, which are the responsibility of the client unless otherwise agreed in writing.

6. Limitation of Liability

To the maximum extent permitted by law, Xi'an Chuanxian Xingfeng Network Technology Co., Ltd. and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website, Services, or deliverables.

Our total liability for any claim under these Terms shall not exceed the total amount paid by the client for the specific Service giving rise to the claim.

7. Warranties

Services are provided on an as-is and as-available basis. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We warrant that Services will be performed in a professional manner consistent with industry standards. If a delivered solution fails to meet agreed specifications, we will make reasonable efforts to correct the deficiency at no additional cost, provided the issue is reported within thirty days of delivery.

8. Indemnification

You agree to indemnify and hold harmless Xi'an Chuanxian Xingfeng Network Technology Co., Ltd., its affiliates, directors, employees, and agents from any claims, damages, losses, and expenses arising out of or related to your use or misuse of our website or Services, your violation of these Terms, or your infringement of any third-party rights.

9. Termination

Either party may terminate a service engagement in accordance with the terms specified in the applicable agreement. Upon termination, the client shall pay for all Services rendered up to the effective date.

Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification shall survive termination.

10. Third-Party Resources

Our website may contain links to third-party resources not owned or controlled by WindFlow. We assume no responsibility for the content, privacy policies, or practices of any third-party sites.

11. Governing Law

These Terms shall be governed by the laws of the People's Republic of China. Any disputes shall first be resolved through good-faith negotiations. If unresolved within thirty days, the dispute shall be submitted to binding arbitration in Xi'an City, Shaanxi Province, in accordance with CIETAC rules.

12. Changes to Terms

We reserve the right to update these Terms at any time. Changes become effective immediately upon posting. Your continued use after changes constitutes acceptance. Material changes will be communicated via email or prominent notice on our website.
